1. Who we are and what Squadrum does

Squadrum ("Squadrum", "we", "us") provides software that lets home improvement contractors and home service professionals ("Contractors") publish a quote request form. Homeowners and other members of the public ("Homeowners") use that form to send photos and project details to a Contractor. Squadrum is a software provider only. We are not a contractor, we do not perform, supervise, guarantee or insure any work, and we are not a party to any agreement between a Contractor and a Homeowner.

2. Accepting these Terms

By creating a Contractor account, or by submitting a request through a quote form, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use Squadrum. You must be at least 18 years old and able to enter into a binding contract.

3. AI-generated estimates are preliminary, not quotes

Squadrum uses artificial intelligence to review submitted photos and answers and to produce a suggested scope of work, a price range, possible red flags and other notes for the Contractor.

Any price range produced by the AI is only a preliminary estimate based on limited information. It is NOT a quote, bid, offer, contract or guarantee of price, and it may be inaccurate or incomplete. Final pricing can only be set by the Contractor after reviewing the project, usually through an on-site visit. Contractors are solely responsible for their own pricing, quotes and decisions, and must not present AI output to a Homeowner as a binding price.

4. AI-generated "after" images are illustrations

Where offered, Squadrum may generate an image showing how a space could look after a project (an "after" or "finished space" preview). These images are AI-generated illustrations created for inspiration only. They are not photographs, designs, plans or renderings of the actual work, and they are not a promise or guarantee of the final result, materials, colors, dimensions or quality. Actual results depend on the Contractor, the site conditions and the agreed scope.

5. Contractor accounts and subscription

Contractors must provide accurate information, confirm their email address and keep their login credentials secure. You are responsible for all activity under your account.

Squadrum is offered as a subscription of $99 per month (plus applicable taxes), with a 14-day free trial that starts when you confirm your email. Payments are processed by Stripe. Unless you cancel before the end of the trial or of any billing period, your subscription renews automatically and you authorize us to charge your payment method. You can cancel at any time from Settings > Billing; cancellation takes effect at the end of the current billing period and fees already paid are non-refundable except where required by law. If your subscription is not active, your public quote link is paused.

Contractors are solely responsible for holding any licenses, registrations and insurance required in their jurisdiction, for complying with consumer protection, home improvement, privacy and marketing laws (including rules on calls and text messages), and for how they contact and serve Homeowners.

6. Homeowner submissions

When you submit a request, you confirm that you have the right to share the photos and information you send, that the information is accurate, and that you agree to be contacted by the Contractor about your project by phone, text or email. Submitting a request does not create any obligation for you or for the Contractor.

7. Acceptable use

You agree not to: submit false, unlawful, offensive or infringing content; upload photos of people without their permission; attempt to manipulate the AI analysis; send spam or automated submissions; interfere with, probe or reverse engineer the service; or use Squadrum to violate any law or the rights of others. We may suspend or terminate accounts or remove content that violates these Terms.

8. Content and license

You keep ownership of the content you submit. You grant Squadrum a limited license to host, store, process, analyze and display that content as needed to provide the service, including sending it to our AI and infrastructure providers. Contractors grant us permission to display their business name, logo and branding on their quote form and related emails.

9. Disclaimers

Squadrum is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that AI output, estimates or images are accurate, complete or suitable for any purpose, or that the service will be uninterrupted or error-free. We do not vet, endorse or guarantee any Contractor or Homeowner.

10. Limitation of liability

To the fullest extent permitted by law, Squadrum will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, or for any dispute, work, damage or injury arising between a Contractor and a Homeowner. Our total liability for any claim relating to the service will not exceed the amount you paid to Squadrum in the 12 months before the claim, or $100 if you paid nothing.

11. Indemnity

Contractors agree to indemnify and hold Squadrum harmless from any claims, losses and expenses (including reasonable attorneys' fees) arising from their services, their pricing or quotes, their communications with Homeowners, or their violation of these Terms or of any law.

12. Changes and termination

We may update these Terms from time to time. If we make material changes we will notify Contractors by email or in the app. Continued use after changes take effect means you accept the updated Terms. You may stop using the service at any time; we may suspend or end access if you violate these Terms.

13. Governing law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of law rules. Any dispute will be resolved in the state or federal courts located in New Jersey, unless applicable law requires otherwise.
